Terms and Conditions of the DAJAR Online B2B Offer

§ 1. General Provisions

  1. These Regulations define the rules for using the "DAJAR Online B2B" offer available in the DAJAR online shop, hereinafter referred to as the "B2B Offer".
  2. The Organizer of the B2B Offer is DAJAR Sp. z o.o. with its registered office in Koszalin, ul. Połtawska 6, 75-072 Koszalin, entered into the Register of Entrepreneurs of the National Court Register under KRS number 0000006818, NIP 6692296668, REGON 003800675, hereinafter referred to as "DAJAR". These details correspond to the current details indicated in the Store Terms and Conditions.
  3. The B2B Offer is intended for companies, institutions, organizations, and other entities making purchases for the purposes of their business, professional, statutory, or institutional activities, and not for private consumer use.
  4. Use of the B2B Offer is voluntary and requires an active B2B Account in the Store.
  5. These Regulations are specific in relation to the DAJAR Store Terms and Conditions. In matters not regulated by these Regulations, the DAJAR Store Terms and Conditions shall apply.
  6. In the event of any discrepancy between these Regulations and the DAJAR Store Terms and Conditions regarding the rules for using the B2B Offer, the provisions of these Regulations shall prevail.

§ 2. Definitions

  1. Store – the DAJAR online shop operated by DAJAR at dajar.pl or in the appropriate language or national version of the Store where the B2B Offer is made available.
  2. Participant – an entity entitled to use the B2B Offer, possessing an active B2B Account.
  3. B2B Account – a customer account in the Store created specifically for business, institutional, or organizational purchases.
  4. Cart – a functionality of the Store containing products selected by the Participant prior to placing an order.
  5. Cart Value – the value of the products contained in the Cart before adding delivery costs and other additional fees, unless indicated otherwise on the B2B Offer Information Page.
  6. B2B Discount – a price reduction on one or more products determined individually for the current content of the Cart as part of the B2B Offer.
  7. B2B Calculation – a verification performed by the Store system of the availability of the B2B Offer for the current contents of the Cart and, if the B2B Offer is available, presenting the resulting prices or B2B Discount to the Participant.
  8. B2B Offer Information Page – a page of the Store containing up-to-date information regarding the B2B Offer, including information on the minimum Cart Value required to be eligible for the B2B Offer.

§ 3. Registration and Use of the B2B Account

  1. In order to use the B2B Offer, a B2B Account must be created by selecting the appropriate account type during registration.
  2. During registration, the Participant is obliged to provide true, current, and complete details of the company, institution, organization, or other entity for whose needs the purchases will be made.
  3. In particular, the Participant shall provide a NIP (Tax Identification Number) or other relevant tax identification number.
  4. The person setting up the B2B Account or placing an order on behalf of another entity should be authorized to act on behalf of that entity or possess appropriate authorization to make purchases on its behalf.
  5. Activation of the B2B Account requires confirmation of the email address and setting a password in accordance with the instructions provided by DAJAR.
  6. DAJAR may carry out automatic or manual verification of the data provided during registration or use of the B2B Account.
  7. In justified cases, DAJAR may request the Participant to clarify, supplement, or confirm the data necessary to establish eligibility for using the B2B Offer.
  8. If the provided data is untrue, incomplete, or out of date, or if there are reasonable doubts regarding the authorization to use the data of the specified entity, DAJAR may temporarily suspend the ability to use the B2B Offer until the matter is resolved.
  9. Having an active B2B Account does not guarantee obtaining a B2B Discount for every Cart or every product.

§ 4. Rules for Determining the B2B Offer

  1. The possibility of obtaining the B2B Offer is subject to reaching a minimum Cart Value.
  2. The current minimum Cart Value required to be eligible for the B2B Offer is specified on the B2B Offer Information Page.
  3. Reaching the minimum Cart Value does not guarantee the granting of a B2B Discount or its application to all products contained in the Cart.
  4. The availability of the B2B Offer and the amount of the B2B Discount are determined individually for the current contents of the Cart, taking into account, in particular, its value, the type and number of products, and the current prices of those products.
  5. The amount of the B2B Discount may vary for individual products contained in the same Cart.
  6. For certain products, the B2B Discount may not be available.
  7. The B2B Discount is calculated in relation to the regular or catalog price of the product.
  8. If the current selling price of a product, in particular a promotional, outlet, clearance, or other special price, is more favorable than the price obtainable under the B2B Offer, the more favorable price will be applied.
  9. In the case referred to in section 8, the B2B Discount will not be additionally calculated on top of the more favorable price.
  10. Consequently, a Cart may reach the minimum Cart Value while simultaneously not qualifying for a B2B Discount, in particular if the current prices of the products contained therein are more favorable than the prices obtainable under the B2B Offer.
  11. The B2B Discount cannot be combined with promotional or discount codes.
  12. If the B2B Offer is used, any promotional or discount code previously applied to the Cart will be deactivated.
  13. The B2B Discount cannot be exchanged for cash or any other equivalent.

§ 5. Checking the B2B Offer

  1. In order to check the availability of the B2B Offer, the Participant:
    • 1.1. logs into an active B2B Account;
    • 1.2. selects products and adds them to the Cart;
    • 1.3. proceeds to the Cart;
    • 1.4. uses the "Check B2B Offer" function or another corresponding function available in the Store.
  2. After executing the function referred to in section 1 item d, the system performs a B2B Calculation for the current contents of the Cart.
  3. As a result of the B2B Calculation, the system presents the Participant with:
    • 3.1. the available B2B Offer along with the resulting prices or B2B Discount, or
    • 3.2. information regarding the unavailability of the B2B Offer for the selected Cart.
  4. The unavailability of the B2B Offer despite reaching the minimum Cart Value may result, in particular, from the type of products in the Cart or the fact that their current prices are more favorable than the prices obtainable under the B2B Offer.
  5. The B2B Calculation applies solely to the current contents of the Cart.
  6. Changing the contents of the Cart, in particular adding or removing a product or changing the quantity of products, may alter the availability of the B2B Offer or the amount of the B2B Discount.
  7. Before placing an order, the Participant should check the final product prices and total order value indicated in the Cart summary.
  8. Performing the B2B Calculation itself does not constitute placing an order or concluding a sales contract.

§ 6. Placing an Order and Data Verification

  1. Upon obtaining the B2B Offer, the Participant may accept the presented conditions and proceed to place the order.
  2. The order is placed, and the sales contract is concluded, under the terms specified in the DAJAR Store Terms and Conditions.
  3. After placing an order, the Store sends an email to the Participant at the provided email address titled "Order Placement Confirmation", containing, in particular, the order number and information regarding the estimated fulfillment time.
  4. Prior to dispatching the order, DAJAR may verify the Participant's data, the details of the entity specified during registration or order placement, and, in justified cases, the authority of the person placing the order to use that entity's data.
  5. If the provided data is incomplete, incorrect, or if there are reasonable doubts as to its accuracy or the authority to use it, DAJAR may hold order fulfillment to the extent necessary to clarify these circumstances.
  6. In such cases, DAJAR may request the Participant to clarify, supplement, or correct the data and set an appropriate deadline for providing the information necessary for further order fulfillment.
  7. If the Participant fails to provide the required information within the specified time limit or if it is confirmed that essential data provided during registration or order placement is untrue or used without proper authorization, DAJAR may exercise its rights under applicable legal provisions.
  8. With respect to a Participant who is neither a consumer nor a natural person to whom consumer rights provisions apply regarding a given contract, DAJAR reserves the contractual right to withdraw from the sales contract until the order is handed over to the carrier, but no later than within 14 days from the conclusion of the contract, if verification confirms that:
    • 8.1. The Participant provided false data of material significance for order fulfillment or eligibility to use the B2B Offer;
    • 8.2. The Participant used the data of another entity without proper authorization; or
    • 8.3. The B2B Offer was obtained based on false data affecting eligibility for the B2B Offer.
  9. DAJAR's declaration of withdrawal from the contract will be delivered to the Participant using the contact details provided when placing the order.
  10. If DAJAR received prior payment in connection with the order, the amount received is subject to refund upon effective withdrawal from the contract.
  11. Regardless of the outcome of a specific order, if it is confirmed that a B2B Account was created or used based on false data or using the data of another entity without proper authorization, DAJAR may block further use of the B2B Offer.

§ 7. Rules for Using the B2B Account

  1. The Participant is required to use the B2B Account and the B2B Offer in accordance with their intended purpose, these Regulations, and applicable legal provisions.
  2. In particular, the following are unacceptable:
    • 2.1. providing false data;
    • 2.2. using the data of another entity without proper authorization;
    • 2.3. using an incorrect or outdated NIP number or other identifier;
    • 2.4. knowingly sharing access to the B2B Account with unauthorized persons;
    • 2.5. taking actions aimed at circumventing technical or organizational rules governing the operation of the B2B Offer.
  3. In the event of a reasonable suspicion of a breach of the rules set out in this section, DAJAR may temporarily suspend access to the B2B Offer until the matter is clarified.
  4. In the event a material violation is confirmed, DAJAR may block further access to the B2B Offer.

§ 8. Complaints Regarding the B2B Offer

  1. Complaints or comments regarding the operation of the B2B Account or the B2B Calculation may be submitted to DAJAR using the contact details specified in the Store.
  2. The submission should, where possible, include data allowing the identification of the B2B Account or Participant, the order number if the complaint relates to a specific order, and a description of the reported irregularity.
  3. Complaints regarding products, payments, delivery, or fulfillment of the sales contract are processed according to the rules set out in the DAJAR Store Terms and Conditions and applicable law.

§ 9. Statutory Rights

  1. The B2B Offer is intended for purchases made for the business, professional, statutory, or institutional activities of the Participant.
  2. The provisions of these Regulations do not exclude or limit any rights that, pursuant to mandatory provisions of law, cannot be excluded or limited.
  3. If the Participant is a natural person entering into a contract directly related to their business activity, and that contract does not possess a professional character for them within the meaning of applicable provisions, provisions granting such persons specific consumer rights under the law shall apply.

§ 10. Amendments and Termination of the B2B Offer

  1. DAJAR may amend these Regulations for important reasons, in particular in the event of changes in legal regulations, functionality of the Store or B2B Account, operating rules of the B2B Offer, or the need to prevent abuse or ensure Store security.
  2. The current text of the Regulations is made available in the Store.
  3. Amendments to the Regulations do not affect the terms of orders placed prior to the publication of the revised text.
  4. DAJAR may terminate or temporarily suspend the operation of the B2B Offer.
  5. Termination or suspension of the B2B Offer does not affect previously concluded sales contracts.

§ 11. Final Provisions

  1. The Regulations are made available free of charge in the Store in a manner allowing users to review their content before using the B2B Offer, as well as to save and reproduce them.
  2. In matters not regulated by these Regulations, the DAJAR Store Terms and Conditions and applicable provisions of Polish law shall apply.
